These Terms of Use (“Terms”) explain your rights and responsibilities when you use Wist’s mobile applications, website, and related online services (the “Services”). Wist.health, Inc. (“Wist,” “we,” “us,” or “our”) provides these Services to you. In most cases, your employer or another sponsoring organization (“Customer”) has chosen to offer Wist as part of a workplace well-being program. These Terms apply to you personally as the individual user. By creating an account or using the Services, you agree to these Terms. If you do not agree with them, you should stop using the Services.

1. Our Relationship With You and Your Employer

Wist provides the Services to organizations through separate commercial agreements, but your personal use of Wist is governed solely by these Terms. You have a direct relationship with us, and your employer cannot modify or override the privacy protections that apply to your individual use. While your employer may receive high-level, de-identified information to understand how their well-being program is performing, your personal data remains protected by our Privacy Policy. If there is ever a conflict between these Terms and what your employer believes the program includes, these Terms will guide your personal experience with Wist.

2. Who Can Use Wist

You may use the Services only if you are at least 18 years old, located in the United States, and legally able to enter into a binding agreement. Wist does not knowingly allow anyone under 18 to use the Services.

3. Beta Period and Evolving Services

Wist is an early-stage platform, and all features may still be in beta. This means parts of the experience may change, behave unpredictably, or be temporarily unavailable. Features may be updated, added, or removed over time as we refine the product. We do not guarantee that any specific tool, recommendation style, or feature will remain available throughout the beta period or beyond. If we make meaningful changes, we will update these Terms and may notify you in the app or by email.

4. Wist Is a Well-Being Tool, Not Medical Care

Wist is designed to support stress management, personal insight, AI-guided reflection, and healthy daily habits. However, Wist is not a medical or mental health provider. The Services do not offer medical diagnosis, treatment, therapy, counseling, psychiatric care, crisis intervention, prescriptions, or any form of clinical service. Using Wist does not create a doctor–patient or therapist–client relationship. If you are experiencing an emergency, thinking about harming yourself or others, or feel unsafe, you should call 911, go to the nearest emergency room, or contact the national crisis hotline at 988. Wist should not be used during an emergency situation.

5. Your Account and Security

You may need to create an account to use certain features. You agree to provide accurate information, keep your login credentials secure, and notify us right away at support@wist.health if you believe your account has been accessed without permission. You are responsible for activity under your account as allowed by law. If we have previously closed your account, you may not create a new one unless we expressly allow it. We use measures such as encryption, access controls, and monitoring to protect your data, but no system is perfectly secure.

6. How Your Employer Is Involved — and Not Involved

Your employer may provide or pay for access to the Services, but that does not give them access to your personal well-being data. They may receive aggregated and de-identified insights, such as overall stress trends or general engagement metrics, but they cannot see your individual check-ins, stress scores, journal entries, reflections, activity history, or conversations with Joy. Wist is not designed to be used by employers for performance reviews, monitoring, or disciplinary decisions.

7. Confidentiality and Data Handling

Wist treats the information you share with care. You may choose to share sensitive details about your emotions, relationships, or daily experiences. We protect your data using encryption, strict internal access controls, and systems designed to separate identifying information from your well-being content whenever possible. You retain ownership of the messages, reflections, images, or other materials you create (“User Content”), and nothing in these Terms prevents you from using your own User Content as allowed under applicable law, as between you and Wist. While we work hard to maintain security, no online system is flawless, and you acknowledge these risks when using the Services.

8. How You May Use the Services

You may use Wist for your personal well-being. You agree not to misuse the platform, interfere with its operation, attempt unauthorized access, reverse-engineer any part of the Services, or post harmful or abusive content. We may limit or suspend access if your use poses a risk to others or to the platform itself.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services for your personal, non-commercial purposes. If you install a mobile app, you may use it on devices you own or control, and updates may install automatically.

9. User Content and Your Rights

User Content includes anything you create or share—such as check-ins, reflections, journal entries, survey responses, and messages with Joy. You retain ownership of your User Content. You grant Wist permission to use it only to operate and improve the Services, personalize your experience, maintain safety, generate aggregated insights, and train our AI models using de-identified data unless you opt into additional uses. We do not sell your data or share identifiable User Content with your employer.

10. Intellectual Property

Apart from your User Content, all other materials in the Services belong to Wist or our licensors. You may not reproduce, modify, distribute, or create derivative works from any part of the Services unless you have our written permission.

11. Integrations and Third-Party Services & Content

Wist may integrate with third-party tools such as calendars or wearable devices. Your use of those tools is governed by their own terms and policies. You may also encounter links, articles, videos, or resources from third parties. We do not control or endorse this content and are not responsible for it. You assume any risks associated with accessing third-party materials.

12. AI Transparency and Limitations

Joy, our AI assistant, is designed to offer thoughtful, supportive, and personalized guidance. However, like all AI systems, Joy may occasionally misinterpret what you write or offer suggestions that are incomplete or not suited to your specific situation. We encourage you to use Wist as a source of support while also using your own judgment and seeking professional help when appropriate.

13. Disclaimers

Your use of Wist is voluntary and at your own discretion. Except where the law requires otherwise, the Services are provided “as is” and “as available.” We do not guarantee uninterrupted access, perfect accuracy, or error-free functionality. Wist disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent allowed by law. Some jurisdictions do not allow the exclusion of implied warranties, so these limits may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, Wist and the individuals involved in creating or delivering the Services are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, loss of goodwill, service interruptions, device failures, or the cost of substitute services. Unless prohibited by law, Wist’s total liability for any claim will not exceed the greater of the amount you personally paid to Wist in the past year (typically $0) or fifty U.S. dollars ($50). These limits reflect a fundamental part of the agreement between you and Wist.

15. Dispute Resolution, Arbitration, and Class Action Waiver

Most disputes between you and Wist must be resolved through binding individual arbitration rather than in court. This means you agree not to participate in a class action or similar group proceeding. Arbitration will be administered by JAMS in Los Angeles County, California, unless we agree otherwise. Either party may bring qualifying matters in small-claims court or seek emergency relief for intellectual property concerns. If any part of this arbitration section cannot be enforced, the rest will remain in effect.

16. Changes to These Terms

We may update these Terms as our Services evolve. When we do, we will revise the “Last Updated” date and may notify you within the app. If you continue using Wist after changes take effect, you agree to the updated Terms.

17. Termination

You may stop using Wist at any time. We may suspend or terminate your access if you violate these Terms, if your employer’s program ends, if your eligibility changes, or if we discontinue the Services. Certain provisions—such as those related to intellectual property, disclaimers, liability limitations, and dispute resolution—will survive termination.

18. Feedback

Wist does not accept unsolicited creative ideas, proposals, or pitches. If you voluntarily share feedback or suggestions, you agree that we may use them freely without payment or restriction, and that we may already be working on something similar.

20. iOS Minimum Terms of Custom EULA

If you use the Wist mobile app on an Apple device, these additional terms apply. These Terms are between you and Wist, not Apple. Your license to use the app is limited to Apple-branded devices you own or control, following Apple’s usage rules. Apple is not responsible for maintaining or supporting the app, and any warranty obligations rest with Wist, unless they cannot be disclaimed under law. If the app fails to meet a warranty that cannot be disclaimed, you may notify Apple for a refund of any purchase price (if applicable). Wist—not Apple—is responsible for product claims, legal compliance, and intellectual property issues related to the app. You represent that you are not in a country under U.S. embargo or on a restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms.
